1. Acceptance of Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you and Silex Holdings, Inc. (doing business as Styln) regarding your use of the Styln mobile application and related services (collectively, the "Services").

2. Description of Services

Styln provides an AI-powered fashion platform that enables users to:

• Extract clothing items from photos
• Visualize outfits through virtual try-on technology
• Organize a digital closet of clothing items
• Create and share outfit books
• Discover and purchase fashion items through affiliate links
• Follow other users and share fashion inspiration

3. Eligibility

You must be at least 13 years old to use Styln. By using our Services, you represent and warrant that you meet this age requirement. If you are under 18, you must have parental or guardian consent to use our Services.

4. Account Registration

4.1 Account Creation

• You may create an account using Apple Sign-In, Google Sign-In, or email
• You must provide accurate and complete information
• You are responsible for maintaining the security of your account
• You must notify us immediately of any unauthorized access

4.2 Account Termination

• You may delete your account at any time through the app settings
• We may suspend or terminate your account for violations of these Terms
• Upon termination, your data will be deleted in accordance with our Privacy Policy

5. Subscription Plans and Pricing

5.1 Subscription Tiers

• Free: 5 AI generations per day, ad-supported, basic features
• Plus ($9.99/month): 20 AI generations per day, ad-free, HD exports
• Pro ($19.99/month): 50 AI generations per day, batch operations, analytics
• Creator ($49.99/month): 100 AI generations per day, advanced features, API access

5.2 Payment and Billing

• Subscriptions are billed through Apple's App Store
• Payments are processed by Apple; we do not store payment information
• Subscriptions automatically renew unless cancelled 24 hours before renewal
• Prices are subject to change with 30 days notice

5.3 Refunds

• All subscription purchases are subject to Apple's refund policy
• Contact Apple Support for refund requests
• We do not offer prorated refunds for mid-cycle cancellations

5.4 Free Trial

• We may offer free trials for premium subscriptions
• You will be charged unless you cancel before the trial ends
• One free trial per user

6. User Content and Conduct

6.1 Your Content

You retain ownership of photos and content you upload to Styln. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to:

• Store, process, and display your content to provide the Services
• Generate AI-based analyses and recommendations
• Display publicly shared content to other users

6.2 Content Restrictions

You agree NOT to upload content that:

• Contains nudity or sexually explicit material
• Depicts minors in any context that violates laws
• Infringes intellectual property rights (e.g., copyrighted images, logos)
• Contains hate speech, harassment, or discriminatory content
• Promotes violence, illegal activities, or self-harm
• Contains malware or malicious code
• Violates any applicable laws or regulations

6.3 Content Moderation

• We use automated and manual moderation to enforce content policies
• We reserve the right to remove content that violates these Terms
• Repeated violations may result in account suspension or termination

6.4 Prohibited Conduct

You agree NOT to:

• Create multiple accounts to evade usage limits
• Share your account credentials with others
• Reverse engineer, decompile, or hack the app
• Use automated bots or scrapers
• Interfere with the Services or other users' access
• Impersonate others or misrepresent your identity

7. Intellectual Property

7.1 Our Rights

Styln and all related trademarks, logos, and service marks are owned by Silex Holdings, Inc. The app design, code, and AI models are protected by copyright and other intellectual property laws.

7.2 AI-Generated Content

• AI-generated images and recommendations are provided for personal, non-commercial use
• You may not resell or redistribute AI-generated content without written permission
• We retain the right to use aggregated, anonymized data to improve AI models

7.3 Third-Party Content

Product images and information from affiliate retailers are owned by their respective merchants. We do not claim ownership of third-party trademarks or content.

8. AI Services and Limitations

8.1 AI Accuracy

• Virtual try-on and clothing extraction use AI and may not be perfectly accurate
• Results are for visualization purposes only
• Actual product fit, color, and appearance may vary

8.2 Usage Limits

• Daily AI generation limits are enforced based on your subscription tier
• Limits reset at midnight UTC
• Exceeding limits through technical manipulation may result in account suspension

8.3 Service Availability

• We strive for 99% uptime but do not guarantee uninterrupted service
• AI processing times may vary based on server load
• We may temporarily limit or suspend Services for maintenance

9. Affiliate Links and E-Commerce

9.1 Affiliate Disclosures

Styln participates in affiliate marketing programs. When you purchase products through our links, we may earn a commission at no additional cost to you.

9.2 Third-Party Retailers

• We are not responsible for products sold by third-party retailers
• All purchases are subject to the retailer's terms and policies
• Product availability, pricing, and shipping are controlled by retailers
• Returns and refunds must be handled with the retailer directly

9.3 Recommendation Accuracy

Product recommendations are generated by AI and may not perfectly match your preferences or the original item. We make no guarantees regarding product suitability.

10. Privacy and Data Protection

Your use of Styln is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully to understand how we collect, use, and protect your information.

11. Disclaimers and Limitations of Liability

11.1 No Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Services will be uninterrupted or error-free
• Warranties regarding AI accuracy or results

11.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SILEX HOLDINGS LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or goodwill
• Service interruptions or data loss
• Third-party actions (including retailers or other users)

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11.3 Indemnification

You agree to indemnify and hold harmless Silex Holdings, Inc. from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your use of the Services
• Your uploaded content
• Your violation of third-party rights

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.

12.2 Arbitration

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except where prohibited by law.

12.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions, except where prohibited by law.

12.4 Exceptions

Either party may seek injunctive relief in court for intellectual property or confidentiality breaches.

13. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms with a new "Last Updated" date
• Sending an in-app notification or email
• Requiring acceptance before continued use (for significant changes)

Your continued use of Styln after changes take effect constitutes acceptance of the new Terms.

14. Termination

14.1 By You

You may terminate your account at any time by deleting it in the app settings. Active subscriptions must be cancelled through Apple's App Store.

14.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or abusive behavior
• Create legal liability for us
• Fail to pay subscription fees

14.3 Effect of Termination

• Your access to the Services will cease immediately
• Your data will be deleted in accordance with our Privacy Policy
• You remain liable for any obligations incurred before termination
• Provisions that should survive termination (e.g., indemnification, limitations of liability) will remain in effect

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Styln.

15.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full effect.

15.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

15.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

15.5 Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control (e.g., natural disasters, network outages, acts of government).

If you downloaded Styln from Apple's App Store, the following additional terms apply:

• These Terms are between you and Silex Holdings, Inc., not Apple
• Apple is not responsible for the app or its content
• Apple has no obligation to provide maintenance or support
• Apple is not liable for product liability claims or warranty issues
• Apple is a third-party beneficiary of these Terms and may enforce them
• You must comply with Apple's Usage Rules in the App Store Terms of Service

BY USING STYLN, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS & CONDITIONS.
